Your use of or visit to the website hosted at http://www.tecnimede.com/ (“Website”) or any of the information, data files, written text, graphics, hyperlinks, audio files or other sounds, photographs, videos or other images (together, “Content”), resources and services ( collectively, including the Content and the “Services”) made available through it, means that you, as a user of or visitor to the Website (“User”), agree to comply with and accept (i) these Terms of Use (“Terms of Use”) and (ii) the privacy policy and personal data protection policy available in the Privacy Policy.
The website is owned by TECNIMEDE, Sociedade Tecnico-Medicinal S.A., with registered office at Rua da Tapada Grande no. 2 Abrunheira, registered in the Company Register of Sintra, Portugal under company registration and legal person number 500 626 413 (hereinafter referred to as the “TECNIMEDE GROUP”).
The TECNIMEDE GROUP, through the website, provides the User with access to the Services which it makes available. The Services, including updates, developments, new tools, and/or new web properties are subject to these Terms of Use.
3. GENERAL OBLIGATIONS AND RESPONSIBILITIES OF THE USER
The TECNIMEDE GROUP reserves the right to alter these Terms of Use at any time, simply by placing the alterations online on the website, and it is the exclusive responsibility of the User to check and comply with them each time they use the website. Use of the site after the changes have been posted constitutes acceptance of the updated wording of the Terms of Use. If you do not agree with the changes made or with the Terms of Use as a whole, you should immediately stop using the site and its Services.
By accessing, using, and downloading materials from the website, the User hereby agrees on their own behalf and/or in representation of the entity on whose behalf they are acting to comply in full with the provisions set out in these Terms of Use, ensuring that they are authorised to act on behalf of the third party that they are representing, if applicable.

These changes will take effect from the time of their publication on the Website or on the date of any subsequent notifications.
5. INTELLECTUAL PROPERTY AND PERSONALITY RIGHTS
Ownership
All information included on the website and the Services and all data and information compiled by the TECNIMEDE GROUP associated with it (such as any data files, written text, software, music, audio files or other sounds, photographs, videos, or other images) to which you have access as part of the Services or through your use of the Services are deemed to be contents belonging to the TECNIMEDE GROUP.
The user is not authorised to modify, rent, lease, borrow, mutualise, sell, distribute, or create a piece of work deriving from the aforementioned contents ( either in part or as a whole) unless expressly authorised in writing to do so by the TECNIMEDE GROUP or by a third party who holds the respective intellectual property and personality rights.
The User acknowledges and agrees that the TECNIMEDE GROUP holds all intellectual property rights (whether such rights are registered or not and wherever in the world such rights may exist) relating to the Services. The TECNIMEDE GROUP holds all rights not expressly granted to the User in the present Terms of Use.
The User additionally agrees not to remove, hide, or alter any notices pertaining to intellectual property rights (including copyright and trademark notices) that may be affixed to or contained within the Services.
Brands and Related Property
Unless expressly authorised to do so by the TECNIMEDE GROUP, nothing in the Terms of Use shall confer on the User the right to use any of the trademarks, trade names, service marks, logos, domain names, and other distinctive brand features of the TECNIMEDE GROUP.
6. DISCLAIMER OF GUARANTEES
The use of the website, the services, as well as of any materials downloaded by the user is made at the user's sole risk and the user is solely responsible for any damages and loss of profit caused to the equipment on which the user uses or views the website, the services, and the materials available therein.
The TECNIMEDE GROUP may include hyperlinks to sites on the internet which are owned or operated by third parties, for the purpose of improving user accessibility. When using links to such third party sites, the User must review and accept the terms and conditions of that site before attempting to use it. The User must also accept that the TECNIMEDE GROUP does not control the content of said website and cannot take any responsibility for the materials created or published on those third party websites. Furthermore, the presence of hyperlinks to other websites not belonging to the TECNIMEDE GROUP does not mean that it supports the website or the products and services referred to therein.

7. GENERAL PROVISIONS
Prevalence
In the event of a conflict between the Terms of Use and other specific provisions or terms and conditions contained on the website relating to particular materials, the latter shall prevail.
Exercise of Rights
The non-exercise or non-immediate application of rights or provisions by the TECNIMEDE GROUP, as provided for in the Terms of Use, shall not be interpreted as a waiver thereof.
Completeness
The Terms of Use constitute the entire agreement between the user and the TECNIMEDE GROUP in relation to the use and consultation by the user of the website and the Services and they govern the use thereof (excluding any Services which may be provided by the TECNIMEDE GROUP under a separate written agreement), replacing in full any previous agreements between the user and TECNIMEDE GROUP in relation to the website and the Services.
Reduction
The invalidity of any provision within the Terms of Use, as declared by a court decision or arbitration which has become res judicata, does not determine the invalidity of the remaining provisions and the TECNIMEDE GROUP reserves the right, where appropriate, to modify the Terms of Use accordingly in order to compensate for the invalidity.
8. APPLICABLE LAW AND JURISDICTION
The Terms of Use, as well as the user's relationship with the TECNIMEDE GROUP pursuant thereto, shall be governed by the applicable laws of the Portuguese Republic. The User and the TECNIMEDE GROUP hereby agree to submit the settling of any legal issues arising from the Terms of Use to the exclusive jurisdiction of the courts of the district of Lisbon, without detriment to the applicable mandatory legal rules. Notwithstanding the foregoing, the TECNIMEDE GROUP may apply for injunctive relief (or an equivalent type of emergency statutory relief) in any jurisdiction.
